1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Digital Agents Studio ("we", "us", or "our"), governing your access to and use of the website at digitalagents.studio and the Digital Agents Studio platform (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

2. Description of Service

Digital Agents Studio provides an AI-powered customer service and engagement platform that integrates with messaging channels such as Instagram and WhatsApp. The Service enables businesses to automate conversations, manage contacts, and deploy intelligent agents to interact with their customers.

3. Free Trial and Subscription

We offer a free trial period so you can evaluate the Service before committing to a paid plan. By signing up for a free trial, you acknowledge and agree to the following:

• Free Trial: upon registration, you will receive a free trial period as specified during the sign-up process. During the trial, you will have access to the features included in your selected plan at no charge.
• Automatic Conversion to Paid Subscription: at the end of your free trial period, your account will automatically convert to a paid subscription under the plan you selected during sign-up. Your payment method on file will be charged the applicable subscription fee unless you cancel before the trial period ends.
• Cancellation Before Trial Ends: you may cancel your subscription at any time before the free trial period expires to avoid being charged. Cancellation can be done from your account dashboard under Billing. If you cancel during the trial, you will retain access to the Service until the trial period ends, after which your account will be downgraded.
• Billing Cycle: after the trial converts to a paid subscription, you will be billed on a recurring basis (monthly or annually, depending on the plan selected) until you cancel.
• Price Changes: we reserve the right to modify subscription pricing. We will notify you at least 30 days in advance of any price increase. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
• Promotional Trials: from time to time, we may offer extended trial periods or promotional offers to select users. The duration and terms of such trials will be communicated at the time of the offer. All other terms regarding automatic conversion and cancellation apply equally to promotional trials.

4. Payments and Refunds

All payments are processed securely through Stripe. By providing a payment method, you authorize us to charge the applicable fees to that payment method.

• All fees are stated in USD unless otherwise indicated and are non-refundable except as required by applicable law.
• If a payment fails, we may suspend access to the Service until the outstanding balance is resolved.
• You are responsible for all taxes associated with your use of the Service, except for taxes based on our net income.

5. User Accounts

When you create an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.
• Not create more than one account per person or share your account with others.

We reserve the right to suspend or terminate accounts that violate these Terms or that remain inactive for an extended period.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Send spam, unsolicited messages, or engage in abusive messaging practices.
• Distribute malware, viruses, or any code designed to interfere with the Service or other users' systems.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Impersonate another person or entity.
• Use the Service to build a competing product or service.

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account without notice.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Digital Agents Studio and is protected by international copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute any part of the Service without our prior written consent.
• Reverse-engineer, decompile, or disassemble the Service.
• Remove or alter any proprietary notices or labels on the Service.

You retain ownership of all content you upload or create through the Service. By using the Service, you grant us a limited license to host, display, and transmit your content solely to provide the Service to you.

8. Third-Party Integrations

The Service integrates with third-party platforms (e.g., Instagram, WhatsApp, Meta, OpenAI). Your use of these integrations is subject to the respective third party's terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services. You are responsible for complying with the terms of any third-party platform you connect to the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
• We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
• In no event shall Digital Agents Studio, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from your use of the Service.
• Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Digital Agents Studio and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account data in accordance with our Privacy Policy.
• Sections of these Terms that by their nature should survive termination will remain in effect (including Sections 7, 9, 10, and 12).

You may terminate your account at any time by cancelling your subscription from the dashboard and requesting account deletion.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Argentine Republic, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the City of Buenos Aires, Argentina.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
